Rental Agreement Terms & Conditions

1. The Renter agrees to return the vehicle in the same condition as it was received.
2. Smoking is not permitted in the vehicle. A cleaning fee will be charged.
3. The vehicle is not to be used for any illegal purposes.

5. In case of an accident, the Renter must notify the Company immediately.

Vehicle Investor Agreement

VEHICLE INVESTOR AGREEMENT

This Vehicle Investor Agreement (this "Agreement") is made and entered into as of [Date] (the "Effective Date"),

BETWEEN:

[CompanyName], a company registered in [State/Country] with its principal place of business at [Address] (hereinafter referred to as the "Company"),

AND:

[InvestorName], a company registered in [State/Country] with its principal place of business at [Address] (hereinafter referred to as the "Investor").

RECITALS

WHEREAS, the Company is in the business of renting vehicles to the public and other entities;

WHEREAS, the Investor is the owner of, or otherwise has the legal right to provide, certain vehicles and wishes to supply such vehicles to the Company for its rental fleet;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. SUPPLY OF VEHICLES

1.1. Vehicle List. The Investor agrees to provide, and the Company agrees to rent, the vehicles as specifically described in Annex A (Vehicle & Rate Schedule) attached to this Agreement (the "Vehicles").

1.2. Annex A. Annex A shall, at a minimum, detail for each Vehicle:
a) Make, Model, and Year;
b) Vehicle Identification Number (VIN) and License Plate Number;
c) The agreed-upon rental rate (e.g., per day, per week, per month) (the "Rental Fees");
d) The minimum rental term for such Vehicle (if any);
e) The agreed-upon insurance deductible amount.

1.3. Addition/Removal of Vehicles. The parties may mutually agree in writing to add or remove Vehicles from Annex A at any time.

2. TERM OF AGREEMENT

2.1. Initial Term. This Agreement shall commence on the Effective Date and shall continue for an initial term of [One (1) year] (the "Initial Term").

2.2. Renewal. Following the Initial Term, this Agreement shall automatically renew for successive one-year periods unless either party provides the other with written notice of non-renewal at least [Sixty (60)] days prior to the end of the then-current term.

3. INVESTOR'S OBLIGATIONS & WARRANTIES

3.1. Delivery. The Investor shall deliver the Vehicles to the Company's location at [Company's Designated Location] on or before the dates specified in Annex A, in a clean, safe, and roadworthy condition, free from any defects.

3.2. Title. The Investor warrants that it has good and marketable title to the Vehicles (or a valid lease permitting this sub-rental), free and clear of all liens and encumbrances, and has the full right to enter into this Agreement.

3.3. Registration & Taxes. The Investor shall be solely responsible for the costs of all licensing, registration, and applicable taxes (including road taxes) for the Vehicles.

3.4. Maintenance.
a) The Investor shall be solely responsible for all scheduled maintenance, preventative maintenance, and necessary repairs to the Vehicles in accordance with the manufacturer's recommendations.
b) The Company shall promptly notify the Investor of any known defect, need for repair, or warning light.
c) The Investor shall perform or arrange for such maintenance or repairs in a timely manner to minimize disruption to the Company's business.

3.5. Substitute Vehicle. If any Vehicle is out of service for maintenance or repair for a period longer than [Forty-eight (48)] hours, the Investor shall, at its own expense, provide the Company with a substitute vehicle of comparable (or better) make and model for the duration of the downtime. The Company shall not be liable for Rental Fees for any Vehicle that is out of service.

4. COMPANY'S OBLIGATIONS

4.1. Payment. The Company agrees to pay the Investor the Rental Fees as specified in Annex A. The Investor shall invoice the Company on a [monthly] basis, and the Company shall pay all undisputed invoices within [Thirty (30)] days of receipt.

4.2. Use of Vehicles. The Company shall use the Vehicles for its normal business operations, specifically, for rental to its own customers in accordance.

4.3. Daily Care. The Company shall, and shall require its customers to, exercise reasonable care in the use of the Vehicles. This includes ensuring proper fluid levels, and tire pressure, and reporting any damage or malfunctions to the Investor immediately.

4.4. Fines. The Company shall be responsible for all traffic violations, parking fines, and tolls incurred by the Company or its customers during the rental period of any Vehicle.

4.5. Restrictions. The Company shall not, nor shall it permit its customers to:
a) Make any alterations or modifications to the Vehicles.
b) Use the Vehicles for any illegal purpose.
c) Sub-lease or assign the Vehicles, other than to its end-user rental customers.

5. INSURANCE & LIABILITY

5.1. Investor's Insurance. The Investor shall, at its own cost, procure and maintain a comprehensive motor vehicle insurance policy for all Vehicles.

5.2. Policy Requirements. Such insurance shall:
a) Include comprehensive, collision, and third-party liability coverage with limits of not less than [Agreed-upon Amount, e.g., $1,000,000] per occurrence.
b) Be primary and non-contributory.
c) Name the Company as an "Additional Insured".
d) Expressly permit the Vehicles to be used by the Company for its car rental business.

5.3. Certificate of Insurance. The Investor shall provide the Company with a Certificate of Insurance evidencing the coverage required herein before delivering any Vehicles and upon each policy renewal.

5.4. Damage & Loss.
a) In the event of damage, accident, or theft of a Vehicle, the Company shall immediately notify the Investor and cooperate fully in the investigation and any insurance claim.
b) The Company's liability for such damage or loss shall be limited to the insurance deductible amount specified in Annex A, provided the damage was not caused by a breach of this Agreement by the Company (e.g., use for an illegal purpose).
c) If a Vehicle is determined to be a total loss, this Agreement shall terminate with respect to that specific Vehicle, and the Company's only liability shall be the deductible amount (if applicable) and any outstanding Rental Fees up to the date of the loss.

6. TERMINATION

6.1. Termination for Cause. Either party may terminate this Agreement upon [Thirty (30)] days' written notice to the other party of a material breach, provided such breach is not cured within the notice period.

6.2. Termination for Convenience. Either party may terminate this Agreement without cause upon [Ninety (90)] days' written notice to the other party.

6.3. Effect of Termination. Upon termination, the Company shall immediately return all Vehicles to the Investor (or make them available for collection), and pay all outstanding Rental Fees due up to the date of return.

7. GENERAL PROVISIONS

7.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [State/Jurisdiction].

7.2. Entire Agreement. This Agreement, including Annex A, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements.

7.3. Indemnification.
a) The Investor shall indemnify and hold harmless the Company from any claims, damages, or losses arising from a breach of the Investor's warranties, a defect in the Vehicle, or the Investor's failure to maintain or insure the Vehicles.
b) The Company shall indemnify and hold harmless the Investor from any claims, damages, or losses arising from the Company's (or its customers') negligent operation of the Vehicles or breach of this Agreement.

7.4. Notices. All notices hereunder shall be in writing and sent to the addresses first listed above or via email to [CompanyEmail] and [InvestorEmail].
